BluetideCloud Affiliate Program Terms & Conditions

These BluetideCloud Affiliate Program Terms & Conditions ("Affiliate Terms") govern participation in the BluetideCloud Affiliate Program (the "Program"). By applying to, enrolling in, accessing, or participating in the Program, you agree to these Affiliate Terms, BluetideCloud's Terms of Use, Privacy Policy, and any additional rules or requirements presented through BluetideCloud's affiliate-management platform.

If you do not agree to these Affiliate Terms, you should not participate in the Program.

BluetideCloud LLC ("BluetideCloud," "Bluetide Cloud," "Company," "we," "us," or "our") may administer the Program directly or through an authorized affiliate-management, tracking, payment, or technology provider.

1. Purpose of the Program

The Program allows approved affiliates to introduce prospective customers to BluetideCloud products and Services and earn commissions on qualifying, attributable sales.

BluetideCloud provides marketing, website and ecommerce development, business systems, CRM and communications solutions, artificial intelligence and automation, payment and billing integrations, managed IT services, consulting, implementation, and other business and technology solutions.

The Program is sales-based. Commissions are earned from qualifying sales, not merely from recruiting, enrolling, or introducing another affiliate.

2. Eligibility

To participate in the Program, an applicant must:

  • be at least 18 years old and legally capable of entering into a binding agreement;
  • provide accurate and complete registration, contact, payment, and tax information when requested;
  • be legally permitted to participate in an affiliate or referral program in the applicant's jurisdiction;
  • agree to comply with these Affiliate Terms and applicable laws and regulations; and
  • be approved by BluetideCloud.

Individuals and businesses may apply unless BluetideCloud determines otherwise for a particular jurisdiction, industry, or Program category.

Approval is not guaranteed. BluetideCloud may accept or reject an application in its discretion to the extent permitted by law.

BluetideCloud may require additional information before or after approval, including identity, business, payment, or tax documentation.

3. Affiliate Status

An approved participant is referred to in these Affiliate Terms as an "Affiliate."

Affiliates participate as independent contractors. Nothing about participation in the Program creates an employment relationship, partnership, joint venture, franchise, fiduciary relationship, agency relationship, or authority to bind BluetideCloud.

An Affiliate may not represent that the Affiliate is an employee, officer, owner, authorized legal agent, or official representative of BluetideCloud unless BluetideCloud has separately provided such authority in writing.

4. Current Commission Structure

Under the current Program structure, approved Affiliates may be eligible for the following commissions on qualifying sales:

  • 10% Direct Affiliate Commission: An Affiliate may earn a commission equal to 10% of a qualifying sale directly attributed to that Affiliate through an approved tracking method.
  • 5% Sponsor Override: An Affiliate may earn a separate commission equal to 5% of a qualifying sale generated by an approved Affiliate whom the first Affiliate directly recruited into the Program.

When a Sponsor Override applies, the selling Affiliate remains eligible for the applicable 10% direct commission, and the Affiliate who directly recruited that selling Affiliate may separately receive the applicable 5% Sponsor Override.

No commission is earned merely for recruiting or enrolling an Affiliate. The Sponsor Override is tied to a qualifying sale generated by an approved Affiliate whom the sponsor directly recruited.

Example: If Affiliate A directly recruits Affiliate B and Affiliate B later generates an eligible $1,000 qualifying sale, Affiliate B may earn $100 under the 10% direct commission structure and Affiliate A may earn $50 under the 5% Sponsor Override structure, subject to all Program requirements.

5. Qualifying Sales

A "Qualifying Sale" is a transaction that BluetideCloud determines satisfies the Program requirements in effect at the relevant time.

Eligibility may depend on factors including, without limitation:

  • proper referral attribution;
  • the referred customer being eligible under the Program;
  • the product or Service being commission-eligible;
  • successful receipt and clearance of customer payment;
  • the absence of fraud, abuse, chargeback, refund, cancellation, or payment dispute;
  • the absence of prohibited self-referral or duplicate attribution;
  • compliance by the Affiliate with these Affiliate Terms; and
  • any additional requirements displayed through the affiliate-management platform or communicated by BluetideCloud.

A lead, inquiry, consultation request, proposal request, quote, appointment, account registration, or prospective customer introduction does not by itself create a right to a commission.

6. Eligible Products and Services

The Program may apply to some or all BluetideCloud products and Services, including marketing, websites, ecommerce, business systems, CRM, automation, AI, payments, managed IT, consulting, implementation, subscriptions, or other offerings.

Not every product, Service, third-party charge, advertising expense, software fee, pass-through cost, tax, shipping charge, reimbursement, or other amount is necessarily commission-eligible.

BluetideCloud may designate products, Services, transactions, or charges as included or excluded from the Program.

7. Affiliate Tracking and Attribution

Affiliates must use approved tracking methods provided or recognized by BluetideCloud, which may include affiliate links, referral URLs, tracking codes, coupon or referral codes, affiliate account attribution, manually approved referral records, or other enabled methods.

BluetideCloud may use an affiliate-management platform such as Affiliatly or another provider to administer registration, tracking, attribution, and commission management.

Affiliates are responsible for using their assigned tracking information correctly.

BluetideCloud is not required to pay a commission for a transaction that cannot reasonably be attributed to an Affiliate under the applicable Program rules.

Technical issues, blocked cookies, privacy settings, browser settings, deleted cookies, customer device changes, customer use of a different browser, incorrect referral links, or other events may affect automated tracking.

Where automated tracking is incomplete or disputed, BluetideCloud may review available records and determine attribution in good faith.

8. Duplicate Referrals and Competing Claims

If more than one Affiliate claims the same customer or transaction, BluetideCloud may determine which Affiliate, if any, is entitled to attribution based upon available tracking information, timestamps, customer records, referral records, sales activity, or other relevant evidence.

Only one direct-sale Affiliate commission will generally be awarded for a single Qualifying Sale unless BluetideCloud expressly approves otherwise.

The applicable Sponsor Override, if any, will be determined based upon the approved Affiliate relationship recorded by BluetideCloud or its affiliate-management system.

9. Self-Referrals and Related Transactions

Affiliates may not use the Program primarily to generate commissions from their own purchases or otherwise manipulate the Program.

BluetideCloud may treat a purchase as a prohibited self-referral or related-party transaction when the purchaser and Affiliate are the same person or entity or when the transaction is structured primarily to generate an Affiliate commission rather than a bona fide third-party referral.

BluetideCloud may reject, reverse, or withhold commissions arising from prohibited self-referrals, sham transactions, fictitious customers, duplicate accounts, or other abusive arrangements.

10. Commission Approval

Tracked or displayed commissions may initially appear as pending, estimated, unapproved, or otherwise subject to review.

A commission does not become finally approved merely because it appears in an Affiliate dashboard.

BluetideCloud may review transactions for eligibility, payment status, refunds, cancellations, chargebacks, fraud, attribution, compliance, and other relevant factors before approving a commission.

11. Refunds, Cancellations, Chargebacks, and Reversals

If a customer transaction is refunded, cancelled, reversed, charged back, disputed, deemed fraudulent, declared invalid, or otherwise determined not to be a Qualifying Sale, any related Affiliate commission or Sponsor Override may be cancelled, withheld, reduced, or reversed.

If an affected commission has already been paid, BluetideCloud may, to the extent permitted by law and the applicable Program rules, deduct the reversed amount from future commissions or otherwise request repayment.

12. Commission Payments

Commission payment timing, payment methods, minimum payout thresholds, processing requirements, holding periods, and other payout details may be established through the Affiliate Program dashboard, affiliate-management platform, written Program instructions, or other applicable Program terms.

BluetideCloud may require an Affiliate to maintain accurate payment information and submit required tax documentation before issuing payments.

Affiliates are responsible for ensuring their payment information remains accurate and current.

No statement in these Affiliate Terms establishes a specific payout date or minimum threshold unless BluetideCloud separately publishes or agrees to one.

13. Taxes

Affiliates are independent parties and are responsible for determining and satisfying their own federal, state, local, international, or other tax obligations arising from Program commissions.

BluetideCloud may collect tax identification information and issue tax forms or reports when required by applicable law.

BluetideCloud does not provide tax advice to Affiliates.

14. How Affiliates May Promote BluetideCloud

Affiliates may promote BluetideCloud through lawful and honest marketing methods consistent with these Affiliate Terms.

Permitted methods may include, as appropriate:

  • personal business referrals;
  • professional networking;
  • websites and blogs;
  • social media;
  • email communications sent with legally required consent or another lawful basis;
  • business consulting relationships;
  • industry relationships;
  • approved advertisements or marketing content; and
  • other lawful promotional methods that do not mislead recipients or violate these Affiliate Terms.

15. Required Affiliate Disclosures

Affiliates must clearly disclose their material relationship with BluetideCloud when required by applicable advertising, endorsement, consumer-protection, or other laws.

Where an Affiliate may receive compensation from a referral, the Affiliate must make a clear and conspicuous disclosure appropriate to the medium used.

Affiliates are responsible for ensuring their disclosures comply with applicable law and platform requirements.

Failure to make required disclosures may result in suspension or termination from the Program and forfeiture of affected commissions.

16. Accuracy of Affiliate Representations

Affiliates must describe BluetideCloud, its Services, pricing, capabilities, and Program accurately.

Affiliates may not make false, misleading, deceptive, unsubstantiated, or unauthorized statements about BluetideCloud.

Without prior written authorization, Affiliates may not:

  • guarantee a particular number of leads, sales, customers, appointments, website visitors, search rankings, or other marketing results;
  • guarantee revenue, profits, savings, return on investment, or business growth;
  • promise discounts, prices, payment terms, refunds, or contract terms not expressly authorized by BluetideCloud;
  • claim that a particular product, Service, integration, feature, or result is guaranteed when it is not;
  • make legal, regulatory, compliance, cybersecurity, financial, medical, or other professional guarantees on BluetideCloud's behalf; or
  • make statements that would reasonably cause a prospective customer to misunderstand the Affiliate's relationship with BluetideCloud.

17. No Authority to Bind BluetideCloud

Affiliates do not have authority to negotiate, modify, sign, or enter into contracts on behalf of BluetideCloud.

Affiliates may not accept payment on behalf of BluetideCloud unless specifically authorized in writing.

Affiliates may not create warranties, commitments, obligations, or guarantees binding BluetideCloud.

All customer proposals, pricing, scope determinations, contracts, and final acceptance decisions remain subject to BluetideCloud's approval.

18. Spam and Unsolicited Communications

Affiliates may not use unlawful spam, mass unsolicited communications, purchased email lists, automated messaging abuse, deceptive outreach, or other prohibited communications to promote BluetideCloud.

Affiliates are responsible for complying with laws and regulations applicable to their communications, which may include requirements concerning commercial email, text messages, telephone calls, automated dialing, prerecorded messages, do-not-call obligations, consent, identification, and opt-out rights.

Affiliates must have any legally required permission or consent before sending marketing communications.

BluetideCloud may immediately suspend or terminate an Affiliate for communications practices that create legal, compliance, deliverability, reputational, or customer-experience risk.

19. Trademark, Brand, and Domain Restrictions

Subject to these Affiliate Terms, BluetideCloud may permit Affiliates to use approved BluetideCloud names, logos, marketing materials, or trademarks solely for lawful promotion of BluetideCloud through the Program.

All goodwill arising from use of BluetideCloud branding belongs to BluetideCloud.

Unless BluetideCloud provides prior written approval, Affiliates may not:

  • register a domain name, social-media username, business name, assumed name, or account name containing "BluetideCloud," "Bluetide Cloud," or a confusingly similar term;
  • use BluetideCloud branding in a way that suggests the Affiliate owns or operates BluetideCloud;
  • modify BluetideCloud logos in a misleading manner;
  • represent an Affiliate website or social account as BluetideCloud's official website or account; or
  • use BluetideCloud intellectual property in connection with unlawful, deceptive, defamatory, or harmful material.

BluetideCloud may revoke permission to use its branding at any time.

20. Paid Advertising and Search Marketing

Affiliates who use paid advertising to promote BluetideCloud must comply with applicable advertising-platform rules and these Affiliate Terms.

Unless BluetideCloud provides prior written authorization, Affiliates may not purchase search-engine keywords, paid-search placements, domain names, or advertisements designed to impersonate BluetideCloud or create confusion regarding whether the advertisement is operated directly by BluetideCloud.

BluetideCloud may establish additional brand-bidding, keyword, display, social-advertising, or paid-media restrictions from time to time.

21. Prohibited Conduct

Affiliates may not misuse or manipulate the Program.

Prohibited conduct includes, without limitation:

  • creating fictitious, fraudulent, or duplicate customers or accounts;
  • engaging in prohibited self-referrals;
  • manipulating cookies, attribution, tracking codes, referral links, or customer information;
  • using bots, scripts, automated systems, malware, or deceptive technical methods to generate referrals or commissions;
  • claiming credit for customers the Affiliate did not reasonably refer;
  • submitting false information to BluetideCloud;
  • impersonating BluetideCloud or another Affiliate;
  • making false or misleading claims about BluetideCloud;
  • engaging in unlawful spam or unauthorized communications;
  • violating intellectual-property, privacy, publicity, or other rights;
  • promoting BluetideCloud in association with unlawful, hateful, defamatory, fraudulent, obscene, or deceptive content;
  • interfering with the operation or security of the Program or BluetideCloud systems; or
  • engaging in conduct that BluetideCloud reasonably determines is abusive, fraudulent, deceptive, unlawful, or materially harmful to the Program, BluetideCloud, customers, or other Affiliates.

22. Customer Ownership and Non-Interference

The Program compensates Affiliates for qualifying referrals; it does not transfer ownership of BluetideCloud customer accounts, contracts, customer relationships, intellectual property, or business records to the Affiliate.

Once a referred customer engages directly with BluetideCloud, BluetideCloud may communicate directly with that customer regarding proposals, projects, billing, support, renewals, additional Services, and other business matters.

Affiliates may not interfere with or misrepresent BluetideCloud's customer relationship.

23. Confidential Information

An Affiliate may receive non-public information concerning BluetideCloud, customers, pricing, commissions, business operations, products, technology, or Program administration.

Information that is identified as confidential or reasonably should be understood to be confidential must not be disclosed or used for purposes unrelated to participation in the Program unless disclosure is authorized or required by law.

24. Privacy and Personal Information

Information collected through the Program will be handled in accordance with BluetideCloud's Privacy Policy and applicable law.

Affiliates are independently responsible for complying with privacy and data-protection requirements applicable to information they collect, maintain, use, or transmit in connection with their promotional activities.

Affiliates should not transmit sensitive customer information to BluetideCloud through insecure or unauthorized methods.

25. Monitoring and Program Review

BluetideCloud may review Affiliate activities reasonably necessary to administer the Program, verify commissions, protect against fraud, investigate complaints, ensure compliance, and protect BluetideCloud's reputation and systems.

BluetideCloud may request reasonable information concerning a referral, promotion, advertisement, or disputed transaction.

Failure to cooperate with a legitimate Program review may result in withholding of disputed commissions or suspension of Program participation.

26. Suspension and Termination

BluetideCloud may suspend or terminate an Affiliate's participation for material violation of these Affiliate Terms, fraud, abuse, misrepresentation, unlawful conduct, tracking manipulation, noncompliant marketing, reputational harm, non-cooperation with a legitimate investigation, or other grounds reasonably related to Program integrity.

An Affiliate may stop participating in the Program at any time.

Termination does not automatically create a right to payment for pending, unapproved, invalid, fraudulent, refunded, cancelled, or otherwise non-qualifying transactions.

Commissions that were validly earned and finally approved before termination will be handled according to the applicable Program rules, subject to any lawful offsets, reversals, documentation requirements, or payment restrictions.

27. Modification or Termination of the Program

BluetideCloud may modify, suspend, replace, or terminate the Program, these Affiliate Terms, commission rates, attribution methods, eligible products or Services, sponsor structures, payout requirements, Program technology, participation requirements, or other Program features.

Unless otherwise stated, changes will apply prospectively from their effective date.

Where reasonably appropriate, material changes may be communicated through the Program dashboard, email, website, affiliate platform, or updated Affiliate Terms.

Continued participation after revised Affiliate Terms become effective constitutes acceptance of the revised terms to the extent permitted by law.

28. No Guaranteed Earnings

BluetideCloud does not guarantee that an Affiliate will generate any referrals, sales, commissions, income, or profit through the Program.

Affiliate performance depends upon many factors outside BluetideCloud's control, including the Affiliate's audience, relationships, promotional methods, market conditions, customer demand, pricing, competition, and customer purchasing decisions.

Examples of potential commissions are illustrations only and are not guarantees of future earnings.

29. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROGRAM AND RELATED AFFILIATE TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

BluetideCloud does not guarantee that Affiliate tracking, dashboards, links, websites, software, reporting, communications, or Program technology will be continuously available, uninterrupted, error-free, or immune from technical issues.

BluetideCloud disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, and accuracy to the maximum extent permitted by applicable law.

30. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLUETIDECLOUD LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, VENDORS, TECHNOLOGY PROVIDERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE PROGRAM.

This includes, without limitation, lost profits, lost opportunities, lost commissions that were never finally approved, business interruption, loss of data, reputational harm, or other consequential losses.

Where applicable law does not permit a particular exclusion or limitation, the exclusion or limitation will apply only to the maximum extent permitted by law.

31. Indemnification

To the extent permitted by law, an Affiliate agrees to indemnify, defend, and hold harmless BluetideCloud LLC and its members, managers, officers, employees, contractors, agents, affiliates, vendors, and service providers from third-party claims, losses, liabilities, damages, costs, and reasonable attorneys' fees arising from or relating to:

  • the Affiliate's violation of these Affiliate Terms;
  • the Affiliate's unlawful or deceptive marketing activities;
  • the Affiliate's failure to make required advertising or affiliate disclosures;
  • communications sent by the Affiliate in violation of applicable law;
  • content, claims, representations, advertisements, or materials created or distributed by the Affiliate;
  • the Affiliate's violation of another person's intellectual-property, privacy, publicity, or other rights; or
  • fraud, misconduct, or misrepresentation by the Affiliate.

32. Severability

If any provision of these Affiliate Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced or modified to the maximum extent permitted by law and the remaining provisions will continue in effect.

33. No Waiver

Failure by BluetideCloud to enforce any provision of these Affiliate Terms does not waive that provision or any other right.

34. Entire Agreement

These Affiliate Terms, together with BluetideCloud's Terms of Use, Privacy Policy, and any additional Affiliate Program rules or written agreements applicable to an Affiliate, constitute the agreement governing participation in the Program.

If a specific written Affiliate Program agreement expressly conflicts with these Affiliate Terms, the more specific written agreement will control with respect to the subject matter of that conflict.

35. Governing Law

These Affiliate Terms and disputes arising out of or relating to the Program will be governed by the laws of the State of Delaware and applicable federal law, without regard to conflict-of-law principles.

To the extent permitted by law and unless another written agreement provides otherwise, disputes will be subject to the jurisdiction of a court of competent jurisdiction in the State of Delaware.
